1. Acceptance of Terms

By accessing orangeimagesphotography.com or submitting a project inquiry, you agree to comply with and be bound by these Terms of Service. These terms govern your use of the website and outline the foundational framework of our professional engagement.|

2. Scope of Services

Orange Images provides high-end commercial, architectural, industrial, corporate, food & beverage, product, drone, and celebration photography and videography. All services are delivered following our structured professional workflow: Consultation and Requirement Analysis, Planning & Styling, On-site Execution, Expert Post-Production (RAW capture, edited small-format JPG selection via Google Drive, and final delivery in JPG/WebP formats), and Web Optimization.


3. Proposals, Bookings, and Payments

  • Proposal Validity: Project proposals and estimates issued by Orange Images are valid for the timeframe specified in the individual quotation; extensions may require a revalidation and revised pricing.

  • Commencement of Work: Project execution begins only after receipt of the mandatory 50% advance booking payment, confirmation of styling directions, and approval of shoot schedules/location permissions.

  • Payment Milestones: Standard project billing follows a tiered structure: 50% advance retainer upon contract signing, 25% post-shoot clearance prior to advanced sorting/editing, and the final 25% balance (inclusive of applicable GST and subject to TDS deductions) upon completion of editing. Late payments beyond agreed thresholds are subject to late fees per week as stipulated in individual client contracts.


4. Intellectual Property and Copyright

  • All photographs, videos, raw files, and digital assets remain the absolute intellectual property of Orange Images until full and final payment is received.

  • Upon full payment, copyright usage rights transfer to the Client strictly for agreed marketing, promotional, and commercial purposes.

  • The Client shall not sell, sub-license, alter, or transfer raw or edited assets to third parties without prior written consent from Orange Images.

  • Orange Images retains the perpetual right to utilize all captured visuals for its own brand promotion, awards, publishing, and portfolio showcases, unless restricted by a mutually executed Non-Disclosure Agreement (NDA).

5. Revisions, Reshoots, and Logistics

  • Clients are entitled to the specified rounds of revisions outlined in their service agreement; additional revisions or major post-delivery brief changes are billable.

  • All travel, accommodation, and site logistical expenses for the Orange Images production crew are borne by the client unless agreed otherwise in writing.

6. Limitation of Liability and Indemnification

  • Orange Images shall not be liable for project delays caused by late client approvals, missing site permissions, or force majeure events (including natural disasters, civil disruptions, or critical technical equipment failure).

  • The Client agrees to indemnify and hold harmless Orange Images against any third-party claims, legal liabilities, or damages arising from the unauthorized modification of delivered assets or the misuse of location rights provided by the client.

7. Governing Law and Jurisdiction

These Terms of Service, along with any separate service contracts executed with Orange Images, shall be governed by and construed in accordance with the laws of New Delhi, India. Any disputes arising out of these terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, with parties agreeing to attempt good-faith mediation or arbitration prior to formal legal action.
